We refer to the Company’s announcements dated 6 June 2024, 14 June 2024, 2 July 2024, 5 September 2024 and 15 November 2024 in relation to the Proposed Internal Reorganisation.

The Board wishes to announce that the High Court of Malaya had, at the hearing held on 26 November 2024, approved the transfer and/or vesting of the assets, liabilities and business undertakings relating to Property Development Business and Management Services Business of the Company from Sime Darby Property to the Transferees in accordance with the Reorganisation Agreements (as amended and supplemented by the Supplemental Agreements) (collectively, “Reorganisation Agreements”).

On 29 November 2024, the Company had lodged office copies of the Vesting Orders dated 5 September 2024 and 26 November 2024 with the Registrar of Companies. As such, the Scheme is effective on 29 November 2024.
